1. Acceptance of Terms

Welcome to TerraChain. These Terms of Service ("Terms") govern your access to and use of the TerraChain platform, including our website, mobile applications, APIs, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

TerraChain provides a blockchain-based land title registry platform that enables:

• Registration of land parcels with immutable records on blockchain
• Verification of land ownership through cryptographic proof
• Transfer of land ownership between parties
• Dispute resolution mechanisms for ownership conflicts
• Integration with government land authorities
• API access for third-party applications

3. Eligibility

To use our Services, you must:

• Be at least 18 years old or the legal age of majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Services under applicable laws
• Complete identity verification (KYC) as required for certain features

By using the Services, you represent and warrant that you meet these eligibility requirements.

4. Account Registration

To access certain features, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Not share your account with others or allow unauthorized access
• Notify us immediately of any unauthorized use

You are responsible for all activities that occur under your account.

5. Land Registration and Verification

5.1 Accuracy of Information

You are solely responsible for the accuracy of all information provided during land registration, including but not limited to boundary coordinates, ownership documentation, and supporting evidence.

5.2 No Guarantee of Legal Title

TerraChain provides a record-keeping and verification platform. Registration on our platform does not constitute legal title to land. Legal recognition of land ownership depends on the laws of the relevant jurisdiction and government authorities.

5.3 Immutability

Records on the blockchain are immutable and cannot be deleted. Once you submit information for registration, it becomes a permanent record. Ensure all information is accurate before submission.

6. Fees and Payments

Certain Services require payment of fees:

• Land registration fees are charged per parcel
• Blockchain transaction fees (gas fees) apply to all on-chain transactions
• API usage may be subject to subscription fees
• Additional services may have separate fee structures

All fees are non-refundable unless otherwise stated. We reserve the right to modify fees with reasonable notice.

7. Prohibited Activities

You agree not to:

• Register land parcels you do not have legitimate claims to
• Submit false, misleading, or fraudulent information
• Impersonate any person or entity
• Use the Services for money laundering or illegal activities
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to any part of the Services
• Use automated systems to access the Services without permission
• Violate any applicable laws or regulations
• Infringe on the rights of others

8. Intellectual Property

The Services, including all content, features, and functionality, are owned by TerraChain and are protected by intellectual property laws. You may not:

• Copy, modify, or distribute our proprietary content
• Use our trademarks without written permission
• Reverse engineer or decompile our software
• Remove any copyright or proprietary notices

Our open-source smart contracts are licensed under MIT License and governed by separate terms.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• The Services will be uninterrupted, secure, or error-free
• The results obtained from the Services will be accurate or reliable
• Any defects will be corrected
• The Services will meet your specific requirements

We are not responsible for any decisions you make based on information provided through the Services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERRACHAIN SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from your use or inability to use the Services
• Damages resulting from unauthorized access to your account
• Land disputes or ownership conflicts

Our total liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless TerraChain and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of any rights of third parties.

12. Dispute Resolution

Any disputes arising from these Terms or your use of the Services shall be resolved through:

• Informal Resolution: First, by contacting us to attempt to resolve the dispute informally
• Arbitration: If informal resolution fails, through binding arbitration in accordance with the rules of the Singapore International Arbitration Centre

You agree to waive any right to participate in class action lawsuits against TerraChain.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles. Any legal action or proceeding shall be brought exclusively in the courts of Singapore.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.

15. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use the Services will immediately cease
• Blockchain records will remain immutable and permanent
• Provisions of these Terms that should survive termination will remain in effect

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.
